UrbanCore Studios LLC - Instructor Agreement

This agreement is between UrbanCore Studios LLC ("Studio") and "Instructor".

1. Services to Be Performed: instruction of yoga, yoga-inclusive, or similar classes.

2. Compensation and Payment: Studio agrees to pay Instructor a flat fee of $35 per 60-minute class instructed. Instructor shall be paid either electronically or in-person within a reasonable time after the conclusion of class instruction. Studio will not withhold social security, medicare, state, or federal income tax or make those payments or state or federal unemployment compensation contributions on Instructor's behalf.

3. Additional Forms of Compensation: Instructor shall be provided access to all classes offered at Studio equivalent to the Monthly Unlimited Membership. Instructor also has the option to be compensated through promotions, including but not limited to: attendance at special events and use of instructor-specific referral promotional codes.

4. Operations Guidance for the Studio: Operating Procedures: Instructor agrees to the Studio Standard Operating Procedures, Guidelines and Expectations document and all future revisions. Keys/Access: Instructor will be given one (1) key to the studio. The key provided shall not be shared with or duplicated without approval by Studio. In the event of a lost key, the cost of key replacement and potential lock change may be the responsibility of Instructor. Student/Client Check-in: Instructor is responsible for confirming student/client is registered for class via Wix Booking. Securing the Studio: Instructor is responsible for locking doors after visually confirming the studio is vacated by all students/clients.

5. Expenses: Studio is not responsible for any travel expenses incurred including vehicle maintenance and repair costs; vehicle and other license fees and permits; insurance premiums; road, fuel, and other taxes; fines; or cell phone expenses.

6. Independent Contractor Status: Instructor is an Independent Contractor and is not an employee of the Studio. Instructor has the right to perform services for other studios without restriction. Instructor has the right to control and direct the means, manner, and method by which the services are performed. Instructor is not required to wear a uniform. Instructor cannot enter into contracts on Studio's behalf.

7. Workers' Compensation: Studio will not obtain workers' compensation insurance.

8. Studio Insurance: Studio will maintain an active insurance policy including, but not limited to, a Professional Liability policy. The PL policy covers claims arising from services performed by Instructor when those services were performed on behalf of Studio. This policy does not prevent Instructor from obtaining a personal Professional Liability policy.

9. Indemnification: Instructor shall indemnify and hold Studio harmless from any loss or liability.

10. Resolving Disputes: If a dispute arises under this Agreement, the parties agree to first try to resolve the dispute with the help of a mutually agreed-upon mediator in Kern County, CA. Any costs and fees other than attorney fees associated with the mediation shall be shared equally by the parties. If it proves impossible to arrive at a mutually satisfactory solution through mediation, the parties agree to submit the dispute to a mutually agreed-upon arbitrator in Kern County, CA.

11. Confidentiality: Instructor acknowledges that it will be necessary for Studio to disclose certain confidential information in order for Instructor to perform duties. Instructor acknowledges that disclosure of this information would irreparably harm Studio. Accordingly, Instructor will not disclose or use any confidential information of Studio without Studio's prior written permission.

Term of Agreement: This agreement is effective once acknowledged and accepted by Instructor. Either the Studio or Instructor may terminate this agreement upon written notice. This agreement may be modified upon written notice and acknowledgement and acceptance by Instructor.
